Website Terms of Use for UpClean Cleaning Services

NOTICE: These terms govern the use of the UpClean Janitorial Experts website. These terms do NOT govern the commercial cleaning services you receive, which are subject to a separate, written Service Agreement.

1. Acceptance of Terms

 

These Terms of Use (the "Terms") are entered into by and between you ("you" or "User") and UpClean Janitorial Experts (the "Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, this "Agreement"), govern your access to and use of our website, including any content, functionality, and services available at www.upclean.ca (the "Website").

Please read this Agreement carefully before you start to use the Website. By using the Website or by clicking to accept or agree to this Agreement, you accept and agree to be bound by this Agreement. If you do not agree to this Agreement, you must not access or use the Website.

 

2. Changes to These Terms

 

We reserve the right, in our sole discretion and to the maximum extent allowed by applicable law, to change, modify, update, or replace this Agreement at any time upon notice.   • Permitted Use: You may view, download, and print the Website content solely for your internal business purposes regarding potential or current janitorial services.

  • Prohibited Action: You must not modify, reproduce, distribute, or publicly display any content from the Website for any commercial purpose without our express written authorization.

 

6. Reliance on Information Posted

 

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of any information. Any reliance you place on such information is strictly at your own risk.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will UpClean Janitorial Experts, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, or licensors (the "UpClean Parties") BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES related to this Agreement or your use, or inability to use, the Website.

 

8. Indemnification

 

You agree to defend, indemnify, and hold harmless the UpClean Parties from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to (a) your violation of this Agreement or (b) your use of the Website, including any User Submission made by you.

 

9. Governing Law and Jurisdiction

 

This Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the courts of British Columbia, Canada.

 

10. Waiver and Severability

 

No waiver by the Company of any term or condition set out in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect.
